These Terms of Service ("Terms") govern your use of Vocal Tech's website, platform, and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Services.

Acceptance of Terms

By accessing or using Vocal Tech's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

We reserve the right to update these terms at any time. Continued use of our services after changes constitutes acceptance of the new terms.

Service Description

Vocal Tech provides:

  • AI-powered marketing automation for dental practices
  • Patient acquisition and lead generation services
  • CRM and practice management integrations
  • Digital marketing campaign management
  • Analytics and reporting tools

Service Levels:

  • 99% uptime guarantee for core services
  • 24/7 AI chatbot availability
  • Business hours support (Mon-Fri 9AM-6PM EST)
  • Monthly strategy calls for Growth Engine and above
  • Regular platform updates and improvements

User Responsibilities

You agree to:

  • Provide accurate and complete information
  • Maintain the confidentiality of your account credentials
  • Comply with all applicable laws and regulations
  • Not use our services for any unlawful purpose
  • Ensure all patient data handling complies with HIPAA

You acknowledge that:

  • Results may vary based on market conditions
  • Success requires active participation and implementation
  • You are responsible for your practice's compliance
  • Marketing results are not guaranteed

Prohibited Uses

You may not:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Transmit malicious code or viruses
  • Attempt to gain unauthorized access
  • Use our services to harm or deceive others
  • Resell or redistribute our services without permission
  • Scrape or harvest data from our platform
  • Interfere with the proper functioning of our services

Payment Terms

Billing and Payment:

  • Monthly subscription fees are billed in advance
  • Setup fees are one-time charges upon service activation
  • All fees are non-refundable except as stated in our guarantee
  • Payments are processed securely via authorized payment processors
  • Late payments may result in service suspension

30-Day Guarantee:

  • Applies to new customers only
  • Setup fee refund if not satisfied within 30 days
  • Must provide reasonable opportunity to address concerns
  • Monthly fees are non-refundable

Intellectual Property

Ownership:

  • Vocal Tech retains all rights to our platform and technology
  • You retain ownership of your practice data and content
  • Custom content created for you becomes your property
  • Usage data may be aggregated for service improvement

License:

  • We grant you a limited license to use our services
  • This license is non-exclusive and non-transferable
  • You grant us license to use your data to provide services
  • Marketing materials created remain your property

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOCAL TECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES.

Our total liability shall not exceed the amount paid by you in the three months preceding the claim.

We do not guarantee specific results or patient acquisition numbers. Marketing effectiveness depends on various factors beyond our control.

Termination

Either party may terminate:

  • With 30 days written notice
  • Immediately for material breach
  • Upon mutual agreement

Upon termination:

  • Access to services will be discontinued
  • You may export your data within 30 days
  • Unpaid fees remain due and payable
  • Confidentiality obligations survive termination

Indemnification

You agree to indemnify, defend, and hold harmless Vocal Tech, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including attorney's fees) arising out of or related to your use of the Services, violation of these Terms, or violation of any rights of another.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.
